TERMS OF SERVICE

Jurisdiction: These Terms are governed by Czech law. Disputes shall be resolved in Czech courts, with specific provisions for US creators where applicable.

1. WHAT IS SIRENDM

SirenDM is a Czech-operated SaaS platform that helps creators monetize Telegram content through AI-powered chat automation, content delivery, and payment processing via Telegram Stars.

How Payments Work

All Telegram Stars payments from fans flow to one shared SirenDM business bot. We track each creator's earnings individually in our database. Once per month, we withdraw accumulated Stars, convert them to TON cryptocurrency, and distribute your share to your provided wallet address. You cannot withdraw Stars directly from Telegram - you depend on our infrastructure to track earnings accurately and distribute funds correctly. Your earnings are held temporarily in our shared system before monthly distribution.

We act as a payment intermediary, collecting payments on behalf of multiple creators and redistributing funds. This is not traditional payment processing (no credit cards), but we temporarily hold your earnings before distribution.

2. ELIGIBILITY & RESPONSIBILITY

You must be 18+ years old (21+ in certain US jurisdictions), legally able to enter contracts, and capable of receiving cryptocurrency payments. You are responsible for all activity on your account, all content you upload, and all communications made by AI agents under your account - including promises, commitments, pricing, and delivery timeframes. You cannot disclaim liability by claiming "the AI did it" - AI cannot be held legally accountable, so all responsibility rests with you. If you're an agency, you certify you have written consent from all models you represent, have verified they're 18+, and are liable for all their content.

All fans transact directly with you, not SirenDM. We're merely a platform. Any disputes, refunds, or legal claims arising from AI-generated promises are between you and the fan.

3. CONTENT OWNERSHIP

You own all agents and content you create. By uploading content, you grant us a worldwide, non-exclusive license to store, host, and deliver your content per your settings, and to process it through AI systems for analytics and moderation. You represent that you own or have rights to all content, have permission from all depicted persons, and content doesn't violate third-party rights. Fans receive only a personal, non-transferable license to view purchased content with no redistribution or commercial use rights.

4. PROHIBITED CONTENT

We immediately ban accounts and report to authorities for: child sexual abuse material (CSAM) or any content featuring minors; illegal activity including trafficking, weapons, drugs, or fraud; graphic violence, terrorism, or harm promotion; non-consensual content including revenge porn or hidden camera footage; harassment, hate speech, or doxxing; intellectual property theft; and spam, malware, or platform abuse. We employ automated CSAM detection via Cloudflare and respond to user reports within 24-48 hours.

5. AGE VERIFICATION

You certify under penalty of perjury that you are 18+ and all performers depicted in your content are 18+ (21+ where required). You have verified all performers' ages via government-issued photo ID and maintain records for at least 5 years. US creators must comply with 18 U.S.C. § 2257 record-keeping requirements, including maintaining detailed performer records and making them available for DOJ inspection. EU creators must follow GDPR when storing performer data. We may randomly audit compliance and require documentation within 48 hours. Failure to provide records results in immediate account suspension and possible law enforcement referral.

We do not verify performer ages ourselves - we rely entirely on your certifications. Providing false certifications constitutes breach of contract, potential criminal fraud, and full indemnification for any damages or penalties we incur.

6. PLATFORM FEES & PAYMENTS

Current pricing is at sirendm.app/#pricing and may change with 30 days notice. Platform fees cover infrastructure (servers, AI processing, payment processing, security, compliance, backups, and development). You receive net earnings after platform fees are deducted.

Withdrawal minimum is 1,000 Stars (~€20) of available funds after Telegram's 21-day holding period. Distributions occur once monthly (typically 1st-5th) via TON cryptocurrency to your wallet address. Processing takes up to 7 business days. Additional withdrawals require written consent. You must provide an accurate TON wallet address - we're not responsible for funds sent to incorrect addresses.

Telegram holds all Stars for 21 days before withdrawal is possible (their anti-fraud policy). We cannot access funds until this period expires. If your available balance is below 1,000 Stars, it carries to the next month. We maintain separate database tracking for each creator with hourly backups and blockchain transaction hashes for all distributions. In case of business failure, creator funds are distributed according to database records before other obligations.

We are not responsible for Telegram payment failures, Stars expiration (3-year limit), Telegram banning our bot, cryptocurrency exchange rate fluctuations, blockchain transaction failures after sending, your wallet security, or currency conversion losses.

7. TAX OBLIGATIONS

You must report all earnings to your tax authority, pay income tax on cryptocurrency earnings, handle VAT obligations if applicable, report cryptocurrency transactions and capital gains, and consult your own tax advisor. Cryptocurrency earnings are taxable income in most jurisdictions, often when received (not when converted to fiat).

We operate as Czech OSVČ and pay Czech income tax on business profits. We track all earnings, maintain records for 10 years, and may request your tax ID, proof of identity (if earnings exceed €1,000/month), or W-9/W-8BEN forms for US tax reporting. For US creators earning $600+ annually, we may issue Form 1099-K. For EU creators, we may report under DAC7 tax transparency rules. We provide monthly earning statements, annual summaries, and transaction records with blockchain hashes, but do not provide tax advice, withholding services, or tax return assistance.

8. DISPUTES & REFUNDS

You handle all disputes with fans regarding content quality or delivery. We help verify technical delivery and process refunds at your written request. Due to Telegram limitations, only we can issue refunds through our bot. Email us with: "I authorize refund of [X] Stars to fan [Username/ID] for transaction [date/description]." We process within 48 hours. Maximum 10% of transactions can be refunded (Telegram policy). Refunds are only available for transactions within 30 days and are deducted from your earnings. Excessive refunds (>20%) trigger account review.

All digital content sales are final once delivered. Fans waive return rights by purchasing. Czech/EU 14-day cooling-off period doesn't apply to digital content delivered immediately with express consent.

9. IDENTITY VERIFICATION

We require verification if monthly earnings exceed €1,000, cumulative earnings exceed €10,000, suspicious patterns detected, or authorities request it. You must provide government-issued photo ID, proof of address, and tax identification number. For high earners (€10,000+), we may request business registration documents and source of funds declaration. US persons must provide W-9 or W-8BEN forms.

This complies with Czech Anti-Money Laundering Act No. 253/2008 Coll. and EU AML Directives. ID documents are stored encrypted for 10 years after account closure (legal requirement). If you don't verify within 7 days, your account is suspended. If you don't verify within 30 days, account is terminated and funds distributed only after identity confirmation. Fraudulent identity results in permanent ban, frozen funds, and police report.

10. LIABILITY & DAMAGES

SirenDM is provided "as is" without warranties of any kind. We disclaim all warranties including merchantability, fitness for purpose, non-infringement, accuracy of AI content, and security guarantees. We are not liable for indirect, consequential, or punitive damages including lost revenue, data loss, business interruption, reputation damage, or tax penalties.

Our maximum liability is capped at the greater of: (1) your undistributed earnings balance in our database, or (2) platform fees you paid in the last 3 months. We are specifically not liable for Telegram's refusal to release Stars, delays in Telegram's holding period, cryptocurrency exchange rate fluctuations, blockchain failures after successful send, your wallet security breaches, government cryptocurrency seizures, or force majeure events (war, natural disasters, government actions, infrastructure failures).

11. YOUR INDEMNIFICATION

You indemnify and hold harmless SirenDM from all claims, damages, and expenses (including attorneys' fees) arising from: your content or conduct; age verification violations or false certifications; third-party claims from fans or performers; regulatory investigations or fines related to your content; false promises made by your AI agent; failure to deliver promised content; fraud or consumer protection violations; tax audits or penalties for your unreported income; and any breach of these Terms. This obligation survives account termination indefinitely.

12. ACCOUNT TERMINATION

You can delete your account anytime via dashboard. We disable all agents immediately and distribute available funds within 30 days (pending funds distributed when Telegram's hold expires). We can terminate immediately without notice for CSAM, illegal content, false age verification, or criminal activity. After warning, we may terminate for repeated violations, failure to verify within 30 days, or 180+ days inactivity. If terminated for illegal activity, funds may be held pending investigation or forfeited.

13. CHANGES TO TERMS

We'll email you 30 days before major changes (affecting rights, payments, or core service). You can reject changes by terminating within 30 days. Minor changes (clarifications, formatting) take effect immediately when posted. Continued use after changes means acceptance.

14. DISPUTE RESOLUTION

Try informal resolution first by emailing support@sirendm.app with 30 days for negotiation. If that fails, mediation is optional but encouraged. Litigation is the last resort, filed in Czech courts (or US state courts for US creators on consumer protection matters). Claims must be filed within 3 years (Czech limitation period) or your state's statute of limitations. You agree to resolve disputes individually, not through class actions (except where prohibited by law). Each party bears own attorneys' fees unless awarded by court.

15. US-SPECIFIC PROVISIONS

US creators must comply with 18 U.S.C. § 2257 record-keeping requirements (federal crime if violated, up to 5 years imprisonment). Some states require performers be 21+. We may issue Form 1099-K if you earn $600+ annually. You must provide W-9 or W-8BEN. Failure to provide may result in 24% backup withholding. State consumer protection laws and automatic refund laws apply where these Terms don't conflict. If you're a US person living abroad, report foreign cryptocurrency accounts via FBAR and Form 8938 (FATCA).

16. EU-SPECIFIC PROVISIONS

GDPR rights detailed in Privacy Policy include access, rectification, erasure, restriction, portability, objection, and freedom from automated decision-making. Contact Czech ÚOOÚ (www.uoou.cz) to lodge complaints. 14-day EU withdrawal right doesn't apply to digital content delivered immediately. We may report earnings under DAC7 if you earn €2,000+ or complete 30+ transactions annually. VAT-registered creators handle their own VAT compliance. We comply with EU sanctions and cannot serve sanctioned countries or individuals.

17. GENERAL PROVISIONS

Entire Agreement: These Terms, Privacy Policy, and pricing page constitute the entire agreement and supersede all prior understandings. Assignment: You cannot assign these Terms; we may freely assign to successors or acquirers. Waiver: Our failure to enforce doesn't waive future enforcement rights. Severability: Invalid provisions are modified or severed while remaining provisions stay in effect. Independent Contractors: No employment, partnership, or agency relationship exists. Notices: We send notices via email to your account address; you send legal notices to support@sirendm.app. Survival: Sections 3, 5, 11, 14, and 17 survive termination. Force Majeure: Neither party liable for failures due to circumstances beyond reasonable control. Electronic Signatures: Your acceptance is legally binding under ESIGN Act and eIDAS Regulation.

ACCEPTANCE

By creating an account or using SirenDM, you certify that you have read and agree to these Terms, understand the centralized payment model and your dependency on SirenDM for distributions, accept Czech law jurisdiction, are responsible for all AI agent behavior, understand your tax obligations, are 18+ years old, have verified all performers are 18+ and maintain required records, and accept all limitations and obligations herein.

If you do not agree, immediately cease using SirenDM and delete your account.
